The terms and conditions mentioned herein will set out and govern all issues that may possibly arise in relation to your access to https://quickeats.co.uk (The Website) or use of its mobile applications (QuickEats, Rider App, the App), online platform, search features, social media and related services to advertise, promote or offer your services as participating restaurants, dine-in venues, food delivery riders or service provider (collectively service providers), connect with listed service providers, explore exotic cuisines, book dine-in tables, order quality filled meals and get it delivered in QuickTime (collectively the Services). The Services on the Website/App is subject to these terms and conditions which may be updated from time to time due to enacted legislation or other business requirements. Please note that references to the “Website” in this Agreement include the current or any future version of the website https://quickeats.co.uk. Similarly, the references to the “App” refer to the current mobile applications, affiliate websites and incorporated tools or services to access the Website or any updated version of the mobile applications, affiliate websites, incorporated tools or services that can be used to access the Website in the future. Please regularly visit this Page and review these terms and conditions before using any feature or service made available on the Website/App. By ordering any product or service through the App, you agree to be bound by these terms and conditions. If you do not agree or have any reservations, please leave the website as you may not order any product or use the Services on the Website/App. Service Description and Our Role

The website https://quickeats.co.uk and its mobile application is being owned and operated by Quickeats (also referred as the company, we, our, us), a company registered in the United Kingdom with its head office located at Universal Sqaure Manchester, M12 6JH. Quickeats provides an online platform to help users connect with the delivery, dine-in or takeaway restaurants (collectively restaurants), explore exotic meals, find exciting deals, book tables, order meals, and request other products and services being made available by the restaurants, drivers and service providers displayed on the Website/App. Please acknowledge that Quickeats is not engaged in any food preparation, food labeling, food supply or dine-in services. The legal contract for the purchase and supply of products or services is between you and the respective restaurants/service provider you place your order with. We only facilitate the participating restaurants, drivers and service providers by booking your orders on behalf of the respective providers. Quickeats is not a party to your contract with the respective restaurant/service provider and shall not be liable for any delivery, quality or other issues related to your orders. Agreement

All users, including the participating restaurants, drivers, service providers or guest visitors, shall consent to these terms and conditions before accessing or using any feature or service made available on the Website/App. Clicking I Agree to accept these terms and conditions, when prompted to do so for creating an account, subscribing to services, or otherwise, shall be deemed as your free, informed and unambiguous consent to enter a binding agreement with Quickeats consisting of the terms and conditions described herein (Agreement). By using the Services on the Website/App or otherwise placing an order through the App, you warrant that you are legally mature and qualified to enter into a binding agreement with the respective restaurant/service provider, and if you are not, accessing or using the Services under the guidance and supervision of your legal guardian who has consented to this Agreement. If you have entered into this Agreement on behalf of your restaurant or business, you warrant that you are duly authorized to represent your organization or business entity, and if you are not, you shall be personally liable to discharge all your obligations arising out of or in relation to any fraudulent misrepresentation, infringement of third-party rights, unauthorized access, and/or indemnities granted under this Agreement. Quickeats reserves a right to determine the process and procedures of using this Website/App. All such process and procedures are being incorporated into this Agreement by reference. We may adapt, modify, update, temporarily suspend or permanently discontinue any feature or service, in whole or parts thereof, on the Website/App in our sole discretion. We do not guarantee that any feature or service will continue or remain available in the future. Quickeats reserves a right to monitor and record your activities on the Website/App but shall have no such obligations. However, if we believe or become aware that your activities on the Website/App are unauthorized, unlawful or in violation of any provisions of this Agreement or the applicable laws, we may suspend/terminate your account, block any further access to the Services and disclose your identity, records, communication or content to relevant authorities/third parties as set forth in our Privacy Policy. Access to the Services

Access to the Website and the App shall be free and voluntary, but you may be required to create an account (register with us) or subscribe to the services for using any premium feature or value-added services being offered or made available on the Website/App. Quickeats reserves a right to restrict certain areas, features, or services, in whole or parts thereof, to specific jurisdictions, restaurants, service providers or users on the Website/App. The Services on the Website/App are intended for the global users but it shall be your responsibility to ensure that the restaurants/service providers on the App are offering their services in your region/country and you can use the Services in your jurisdiction without violating any local, state, federal or international laws and embargos for being located in any restricted country (subject to sanctions) or listed in any governmental list of blacklisted entities. It shall be your responsibility to make all arrangements (including compatible device and equipment) necessary for accessing the Services on the Website/App. You shall also be responsible to ensure that all your employees or third parties who access the Services under your credentials (your account or internet connection) are aware of and abide by the terms and conditions of this Agreement. Please acknowledge and consent that the Services may be temporarily unavailable or suspended due to maintenance, technical issues or other reasons beyond our reasonable control. We endeavor to remain available twenty-four (24) hours a day but shall have no obligations to remain available round-the-clock. Quickeats will not be liable to you or any third party if the Website/Service is not available at any time or for any period you need it. The use of the Services on the Website/App is subject to data transmissions over the mobile network and the Internet. Such data transmissions may not be absolutely secure regardless of the security technologies implemented, and therefore, we do not guarantee the security of such data transmissions. The Website, its App and content, including but not limited to trademarks, service marks, logos, icons, page headers, graphics, images, audios, videos, applications, scripts, descriptions, presentations, services, service names, databases and contained intellectual properties are exclusively owned by Quickeats and fully protected by the copyright and trademark laws the United Kingdom and relevant international conventions. The content from participating restaurants and service providers (including without limitation photographs, graphical images, trademarks and service marks) are non-exclusive or exclusive properties of Quickeats and the respective providers as the case may be. Copyright © 2019 Quickeats. All rights not otherwise expressly granted in this Agreement belongs to Quickeats. You may use the App and download/print any product or service description (including the dietary information, photographs or graphical images) and other shared content on the Website/App for your personal and non-commercial use but nothing in this limited license shall grant you any rights, whether by estoppel or otherwise, to copy, extract, publish, reproduce, redistribute, create derived works, sell, lease, or commercially exploit any protected material or content without obtaining a prior written consent from Quickeats or the respective copyright owners, as the case may be. You shall never modify the digital or hard copies of any protected materials and refrain from using any pictures, graphic images, photographs or audio-visual media sequences by separating it from the accompanying text or presentation. You are not allowed to edit, alter, hide, frame or remove the copyright or other proprietary notices from the downloaded/printed content. You must ensure that our status as the copyright owner of the material or content on the Website/App is duly acknowledged. Registration/Subscription

All registrations/subscriptions on the Website/App shall be subject to verification and approval by Quickeats. When you create an account on the Website/App, you may be required to submit your name, email address, billing address, location, area code, contact number, preferences, payment instrument and other details related to your personal, professional, business or demographic profile. The participating restaurants, drivers and other service providers may be required to provide additional information related to their professional or business profile (including the products or service descriptions) and must consent to our Service Provider’s Agreement which is being incorporated into this Agreement. Any personal information or content that is submitted on the Website/App or received from third-party restaurants/service providers will be handled according to our Privacy Policy which is being incorporated into this Agreement. When you provide any personal data, business profile or content on the Website/App, you represent and warrant that submitted information/content is authentic, accurate, correct, complete and updated, and you will keep it as such. If we believe or become aware at any point that submitted personal data or content is incorrect, incomplete, obsolete, infringing, misleading, fraudulent, unlawful, derogatory, offensive or other objectionable, your account will be suspended/terminated at our sole discretion and without any obligations, whatsoever. It shall be your responsibility to maintain the confidentiality of your login information and keep a secure runtime environment on your device. You shall be solely liable for all activities under your account and credentials, including but not limited to any submitted information or content, placed orders, used features or services, granted waivers, or consented agreements that add to your obligations under this Agreement. If you suspect any unauthorized access or activity under your account, please immediately review the security of your account and inform our support team to minimize or prevent any liabilities that might occur due to any such unauthorized access or activity. Subject to your statutory rights, Quickeats reserves a right to restrict, suspend or terminate any user account in its sole discretion and without any obligations whatsoever. However, we will inform you regarding such restrictions/suspension, and when applicable, allow a reasonable time to rectify any material breach of this Agreement, as determined by Quickeats. Sale of Alcohol and Smoking Products

Please acknowledge that you are not allowed to buy or attempt to buy alcohol, alcoholic beverages, cigarettes, tobacco or other smoking products for or on behalf of any minor in your jurisdiction (kids who are less than 18 years of age). If you place orders for smoking products, alcohol, alcoholic beverages or any meals that contain influencing ingredients, you will be required to prove your age (show your ID) at the point of delivery, collection or use of the Services. If you fail to prove your age of maturity or the respective restaurant/service provider reasonably believes or becomes aware that you have ordered any such product for or on behalf of any person under 18 years of age, the relevant restaurant/service provider shall be entitled to refuse the delivery of smoking products, alcohol, alcoholic beverages or any meals that contain influencing ingredients. By booking any dine-in table or venue through the App, you agree to accept and abide by the rules and regulation of the respective restaurant/service provider, including any dress code or decent behavior you are supposed to follow at the dine-in venue or during the event. If you fail to observe such rules or get intoxicated, the relevant restaurant/service provider shall be entitled to refuse the services or ask you to leave the venue. You shall be solely liable for any health issues related to your poor diet choices and unhealthy eating habits or lifestyle, including but not limited the use of alcohol, alcoholic beverages, and smoking products. The participating restaurants will be obligated to highlight allergic content as set forth in the food labeling guidelines, but if you have any specific food allergy or intolerance, you agree to contact the restaurant directly and ensure that your preferred meal is suitable for you before entering into a contract with the respective restaurant for purchase or supply of that meal (placing your order).

Price and Payment

All prices and promotional offers are subject to change at any time and without any obligations whatsoever. Errors and omissions may occur due to a large number of menus and related information (allergic content, nutritional values, dietary information, and price) provided by participating restaurants and service providers. If the quoted price is rectified after you have placed your orders, we will contact you and inform about the correct price before your order is dispatched. You will have the option to continue with your order at the correct price or request a cancellation if the respective restaurant has not started preparing your order. Quickeats or the participating restaurants shall have no obligations to deliver any order at the incorrect lower price or compensate you due to any such incorrect price quoted on the Website/App. However, if the quoted price is higher than the correct price, the difference will be credited to the same payment instrument that was used for placing your order or deducted from the total amount due and payable. Only the approved and listed payment instruments shall be used for placing an order on the Website/App. Quickeats reserves a right to add or remove any payment instrument in its sole discretion. You may also pay in cash to the respective restaurant/service provider at the point of delivery, collection or use of services by you. If you place your orders by credit or debit card, the respective restaurant or service provider may request you to show your credit/debit card at the time of delivery, collection or use of the services to verify and ensure that the card corresponds to billing/payment information they receive from the payment processor. Please note that it may take a few days before your credit/debit card is pre-charged or charged, depending on the respective payment processor/bank or any delays in the processing of card payments and transactions. Quickeats may collaborate with third-party payment processors, payment gateways and credit screening services for processing your transaction on the Website/App. By placing an order on the Website/App, you agree to accept and abide by the terms and conditions of the respective payment processor. Please note that party payment processors may collect your payment information for processing the transaction. Please carefully review the privacy policy of the respective payment processor to learn how they protect your credit/debit card information. It shall be your responsibility to ensure that your payment/billing information is current, complete, and updated. We shall not liable for any disappointment due to your failure to provide authentic payment details. Once your payment instrument is authorized and the transaction is successfully processed, we will send a billing summary to your registered email address. However, we shall have no obligations to provide any kinds of consolidated account statement against your purchases on the Website/App. The use of credits and discount vouchers are subject to the terms and conditions of this Agreement and promotional policies of the respective restaurant and service provider. If any credit or discount voucher is successfully applied to your order, the respective amount will be deducted from the total amount due and payable at the point of delivery, collection or use of the services. However, your bank or credit card issuer may initially pre-recharge the full amount, depending on their policies and procedures. The credits and discounts will be applied at the time when your credit/debit card is charged (at the time when your bank or credit card issuer transfers funds for your purchase) and applicable credit or discount will be released back to your bank account. By placing an order on the Website/App, you agree that Quickeats or the participating restaurants shall not be liable for any delays by your bank or card issuers in releasing the funds and crediting it to your account. All orders placed on the Website/App are subject to acceptance and approval by Quickeats and the respective restaurant/service provider. If your transaction is failed (even if your credit/debit card is authorized), the bank or credit issuer fails to transfer the pre-charged amount (ring-fenced amount) due to any technical issues, or your order is rejected/canceled by the respective restaurant due to any reasons, your bank or card issuer will release the pre-charged amount and credit it back to your available balance. However, it may take a few days (3 to 5 days or longer) to release the pre-authorized amount by your bank or credit issuer, depending on their policies and procedures. Quickeats or the participating restaurant shall not be liable for any such delays in the release of funds back to your account. Taxes, Duties and Delivery Charges

Quickeats will facilitate the participating restaurants and other service providers by booking orders and accepting payment on their behalf. The quoted price of meals and other services will be inclusive of VAT but exclude other taxes, duties, delivery charges or service fees that may be applicable to your order. The final price of your order will include these taxes, duties and additional charges, and become due and payable at the point of delivery, takeaway or provisioning of the Services. You shall be liable to pay all taxes, surcharges, delivery costs and other service charges imposed by the respective restaurant and added to the total amount due and payable. Please acknowledge and consent that the quoted price on the Website/App for any product or service may be slightly different than offered by the respective restaurant at any point or the total amount due and payable at the point of delivery due to any exclusive discounts or promotional offers by restaurants, time-lags in updating the content/information on the Website, errors and omissions, or any additional duties or charges applicable to your order. Placing your orders

All orders on this Website/App are subject to acceptance and approval by Quickeats and/or the respective restaurant/service provider. Once you select your preferred meals, dine-in tables or available services from the chosen restaurant, you will have the option to edit your preferences or click on the Proceed or similar syntaxes to place your order. It shall be your responsibility to ensure that your submitted information and preferences are correct and complete before you place your order. By booking any meal, dine-in table or other services from a restaurant on the Website/App, you will be entering a binding contract with the respective restaurant and any correction will be subject to their policies and procedures as set forth in their terms and conditions. Once you place an order and your payment is authorized, you will not be entailed to change/cancel your order or get a refund. All payments shall be final and no claim for a refund shall be admissible unless your request is accepted by the respective restaurant or you are eligible for any refund under the applicable laws. If you made a mistake while placing your order or wish to change your preferences, you may contact our support team and we will attempt to convey your request to the respective restaurant. However, we cannot guarantee that your request will be conveyed in time (the restaurant may have already started processing your order) or the restaurant will accept/accommodate your requests. If your transaction is failed or payment is not authorized due to any reasons, your order will not be processed or conveyed to the respective restaurant. If your transaction is successful, your order will be processed and communicated to the relevant restaurant. You will see a confirmation statement on your profile page and receive a confirmation email to your email address containing ordered items, price details, estimated delivery time, the point of delivery/collection and your other preferences. The delivery schedule provided by the restaurants is a reasonable estimate of times they need to deliver your orders at the point of delivery, collection or use of the services. Quickeats or the participating restaurants do not guarantee that your orders will always be delivered or made available for collection/use within the estimated times. Quickeats shall not be liable to you or any third party for delays due to non-performance of third-party restaurants/service providers, force majeure events or circumstances beyond its reasonable control. Changes or Cancelation of Orders

By placing your order on the Website/App, you consent to enter a contract with the respective restaurant for the sale of requested products/services but any such confirmation of your orders shall never denote any kinds of express or implied warranties that your order will be fulfilled by the relevant restaurant. The participating restaurants are obligated to accept all orders placed on the Website/App, but they shall be entitled to refuse or cancel any order due to an unexpected increase in orders, extreme weather conditions, force majeure events, or your failure to follow their policies/applicable laws. If any restaurant cancels, rejects, fails to deliver, or otherwise breaches its contract with you, any payment made to us in respect of that order will be refunded as set forth in this Agreement. In case you want to change or cancel any confirmed order (when payment has been authorized), we may still try to persuade the relevant restaurant to accommodate your requests, but we do not guarantee that any such changing or cancellation of your order will be accepted by the respective restaurant as they may have already started processing your order. Please acknowledge and consent that Quickeats is not a party to your contract with the relevant restaurant. In case you want any refund, proportionate reduction in the price, or any other kinds of claim or compensation due to poor quality of any product or service, as part of your statutory rights, or otherwise, please contact the respective restaurant directly to register your complaint or seek compensation as set forth in the policies and procedures of the respective restaurant. If you are unable to contact the respective restaurant or they refuse to listen to any such complaint, you can contact our support team within 48 hours from the event or cause of the event that resulted in your grievances. Once we receive your complaint, we will contact the respective restaurant/service provider and forward your request for any such claim or compensation. However, please acknowledge and consent that the participating restaurants/service providers on the Website/App are independent entities and we do not control the quality of any product or service they provide, and therefore, Quickeats shall not be liable to provide any claims or compensation to you on behalf of the participating restaurants/service providers. Credits and Vouchers

Paycode or Discount Vouchers must be redeemed before its expiry date. When Paycode Voucher is applied before its expiry date, the relevant amount will be credited to your Quickeats account. Any expired Paycode or Discount Voucher will not be credited or refunded. Paycode Voucher code can be applied only once. Once the code is used, whether by you or any unauthorized person, the Paycode Voucher will become void. It shall be your responsibility to ensure that your Paycode Voucher code is not used by any unauthorized person. Paycode Vouchers credited to your account will be available to your Quickeats account for a certain period, as determined by Quickeats, and you can use the credited amount to order products and services from the participating restaurants during this period only. The Paycode Credits and Discount Vouchers can only be redeemed towards your orders from the participating restaurants made through the Website/App. No Paycode Credits or Discount Vouchers can be redeemed for cash. If your order exceeds the amount available on your Paycode Credits or Discount Vouchers, you must pay the difference using any payment instrument approved and listed on the Website/App. If your order amount is less than available Paycode or Discount Voucher, the difference will be credited to your Quickeats account to be used before the specified time period. Discount Vouchers are subject to additional terms and conditions from their respective sponsors. Discount Vouchers shall be specific to the user it has been issued and remain non-transferable. Any Discount Voucher issued without our prior written authorization shall be void and may be refused in our sole discretion. Only one Discount Voucher can be applied to any order and shall be limited to the specific number of times each individual or household is allowed as per the promotional offer. Discount Vouchers cannot be used along with other Vouchers or promotional discounts available to any product or service. Quickeats will not be liable for any mutilated, defaced, tampered, lost or stolen Vouchers and no claims shall be admissible for any refusal, rejection, cancellation or withdrawal of Vouchers or your inability to redeem a Voucher due to any circumstances. We hold good faith that you will use our promotional offers in a legal and lawful manner. However, Quickeats reserves a right to reject or cancel any promotional Voucher or discount in its sole discretion and without any obligations whatsoever. Please note that Paycode Credits and Discount Vouchers will be applied when your credit card or payment instrument is charged. When you place your order, your bank or card issuer will pre-charge the full amount of your order. If your order is accepted by the restaurant and payment is successfully processed, the applicable credit or discount will be released back and credited to your bank account. Prohibited Activities

The Website/App shall be used for lawful purposes only. You agree to follow all the local, state and federal laws and guidelines related to your use of the Services on the Website/App. The following activities without limitations shall be strictly prohibited on the Website/App: Copying any protected database, material or content or using such extracts, Website, App or Services for any commercial use unless you are duly authorized to do so. Uploading, posting, sharing, or transmitting any content that is unlawful, harmful, abusive, harassing, tortuous, threatening, defamatory, libelous, obscene, vulgar, pornographic, objectionable, hateful, or discriminatory against any individual, community, ethnic group, race, sex, gender or gender identity. Uploading, posting, sharing, transmitting or making any content available that you are otherwise not authorized to share or transmit under any law or contractual agreement with other parties Uploading, posting, sharing, transmitting or making any content available that violates our copyright and trademarks, or infringes upon any patent, trademark, trade secret, copyright or other proprietary rights of participating restaurants and service providers. Stalking people or gathering personal details of other users and sharing any such personal information with third parties without proper authorization. Uploading, posting, sharing, or transmitting content that carries any kind of malicious code or viruses, or using any tools or technology to gather/modify user data, hack, crawl or gain access to otherwise restricted areas, interfere with the normal functioning of this Website/App or compromise the privacy of other users on the Website/App. Sending unsolicited promotional messages and emails that amounts to spamming or sharing unethical statements, testimonials, or information. Sharing slanderous or defamatory content with or without any intentions of influencing others, raising emotions, threatening or harassing anybody, or acting in a manner that is libelous, defamatory or amounts to an infringement of third-party rights, including their rights to privacy or publicity. Impersonating others, misrepresenting an affiliation with any person or entity, providing false, misleading or deceptive information, or doing anything that amounts to fraud, suspicious, illegal or unauthorized activity, whether with an intention to exploit innocent users/minors or otherwise. Offering food prepared with prohibited content or inviting discussions on any food or ingredients that have been prohibited by local, state, national or international laws. Using any tools and techniques to obtain a large number of orders, affect our rating and reviews system, or reverse engineer our search and listing algorithms or other business methodologies being used on the Website/App. Forging or manipulating identifiers or using any tools and techniques to disguise the origin of any material transmitted through the Website/App or engaging in any activity that tarnishes our reputation or interferes with the rights of other users to the Services. Launching a denial of service attack or using any tools or technology to probe, scan or test the vulnerability of our Website/App or connected network, disobey, breach or circumvent any requirements or authentication protocols whether to disrupt the Services, interfere with our network in violation of our policies and procedures, or otherwise. Gaining unauthorized access to otherwise restricted areas or engaging in any activity that amounts to recompiling, reconstructing, reformatting, reproducing, republishing, modifying, transferring or redistributing our user data, applications, services or any other content that may be required for creating a derivative work or service. Any violation of the foregoing restrictions shall be deemed as a material breach of this Agreement. However, this list is non-exhaustive and if we believe or become aware at any point that you are involved in any kinds of unauthorized activities on the Website/App, as determined by Quickeats, we may restrict, suspend or terminate your account at our sole discretion and collaborate with the relevant authorities to initiate legal proceeding for any such violation of this Agreement. However, nothing in this section is intended to override your statutory rights. User-Generated Content

All your personal, professional and business profile, product or service descriptions, and related views, reviews, comments, suggestions, testimonials, recommendations, rating and reviews, feedback, information about exotic meals, restaurants, and other content, including the allergic content, nutrition value and other dietary details whether published, posted, shared or transmitted through the Website/App shall be deemed as user-generated content. Except for the personal data which will be handled according to our Privacy Policy, all user-generated content shall be deemed as non-confidential and non-proprietary information. By publishing, posting, sharing or transmitting any views, reviews, product or service description, rating, feedback or other content on/through the Website/App, you agree to grant Quickeats a non-exclusive, perpetual, irrevocable, sub-licensable, royalty-free and worldwide rights over your submitted content. It shall be your responsibility to ensure that you have all the rights and authority to publish, post, share or transmit your content on the Website/App and grant this limited-license to Quickeats. We may adapt, copy, modify, publish, disclose, distribute, share, incorporate and otherwise use any non-confidential and non-proprietary information (including product and service descriptions, images, sounds, text, data or other materials) for commercial or non-commercial purposes. Quickeats may publicize, reproduce, distribute or commercially use your rating, reviews, feedback, and other non-confidential/non-proprietary information without any need to obtain your prior consent, notify you or compensate for using any intellectual property contained in such user-generated content. You shall be solely responsible for your posted, published, uploaded, shared or transmitted content on the Website/App. You represent and give an undertaking that posted, published, uploaded, shared or transmitted content will be lawful and never breach any local, state, federal or international laws. All user-generated content that infringe third party rights, spread viruses or other malicious codes, contain defamatory, derogatory or offensive material, promote discrimination, violence or illegal activity, impersonate others or misrepresent your affiliation with any person or entity, carry unauthorized advertising, breach your confidentiality agreement with or obligations to any third party or otherwise give an impression to be originated from our Website/App shall be strictly prohibited. Quickeats reserves a right to refuse, modify or remove, in whole or parts thereof, any user-generated content in its sole discretion but shall have no obligations to do so unless required by law. However, such rectification of removal of user-generated content may take place only when we believe or become aware of any violation of this Agreement, non-compliance with the applicable laws, third party infringements, or possibilities to any harm or liabilities to us or any third party, or any other issues making it objectionable. The rating and reviews on the Website/App are intended for information purposes only and shall be deemed as such. Rating and reviews shall never constitute any kinds of advice from us. Rating and reviews or other user-generated content reflect the statements, opinions, advice, and feedback of the participating restaurants and users on the Website/App. Therefore, to the fullest extent permitted by the law, Quickeats shall not be liable for any views, reviews, feedback or other user-generated content, including but not limited to any errors, omissions, misrepresentations, falsehoods or defamation you may face in such content. Quickeats may disclose the identity or location of any user or the originating source of any user-generated content when such disclosures are required by the law or requested by any law enforcement or regulatory body with the competent authority. To the fullest extent permitted by law, you agree to release us from all liabilities in relation to such disclosure. Termination

Quickeats reserves a right to suspend or terminate this Agreement in its sole discretion and prevent any further use of the Services by giving you a notice in writing. Such restrictions, suspensions or terminations may take place if we believe or become aware of: Any violation of this Agreement, including but not limited to any violation of our end-user licenses or policies related to user-generated content on the Website/App. Any non-compliance with the applicable laws related to the Service or a termination request by any regulating agency with the competent authority. Any failure to discharge your financial or other obligations under the Agreement. Any kinds of fraudulent, unauthorized, illegal or unlawful activities on the Services. Any non-performance, negligence or failure to provide your services, in whole or parts thereof. Excessively negative reviews and rating by the users on the Website/App or poor service as determined by Quickeats. Any material breach of this Agreement as determined by Quickeats.

If this Agreement is terminated, Quickeats will permanently remove all content associated with your account on the Website/App unless we are required to retain any information due to our accounting, reporting or other legal obligations. You agree that if your agreement with us is suspended or terminated, you will immediately discharge your pending obligations and destroy any downloaded or printed content from the Website/App. Subject to your statutory rights, no claims or compensation shall be admissible on the grounds that your account on the Website/App was restricted, suspended or terminated without any notice or reasonable opportunity to rectify any material breach of this Agreement. This section shall survive any termination of this Agreement.

Indemnity

By using the Services, you agree to indemnify Quickeats, its parent, partners, subsidiaries and each of its directors, executives, officers, employees, assignees, affiliates and representatives (collectively indemnified parties), defending the indemnified parties harmless from all claims, liabilities, damages, actions, proceedings, costs and expenses, including a reasonable attorney’s fees that may arise out of or in relation to your: Violation of this Agreement or non-compliance with the applicable laws. Infringement of third-party rights, including their copyrights, intellectual property, and other proprietary rights. Rating, reviews or other materials that you post, share or transmit in a breach of your representations, warranties, agreements or restrictions set forth in this Agreement. Acts and omissions, including but not limited to any false, inaccurate, misleading, offensive, derogatory or otherwise objectionable content submitted, posted, transmitted or made available on the Website/App. Or other unauthorized/unlawful activities during your use of the Services. Quickeats reserves a right to assume the exclusive defense of any claims on behalf of the indemnified parties and shall be entitled to full reimbursement of its costs and expenses incurred in defending any such claims or rectifying the damages. This section shall survive any termination of this Agreement.

Disclaimer of Warranties

Subject to your statutory rights, we disclaim all warranties, undertakings, conditions, and representations to the maximum extent permitted by the law. The Services are being offered on As-is and As-available basis without creating any kinds of express or implies warranties of accuracy, authenticity, reliability, quality, merchantability, fitness for a particular purpose, suitability of the Services or other warranties, conditions, undertakings, representations or terms that might otherwise apply or considered to be implicit/incorporated into this Agreement by any statute, common law or otherwise. Without limiting the generality of the foregoing, we do not claim that the content on the Website/App, including any views, reviews, testimonials, suggestions, recommendations, quoted price, product or service description, nutritional value of meals, allergic content and dietary details, or other information will be accurate, authentic, correct, current, complete, reliable and available when you need it or any such material or content will be absolutely secure and free from errors, omissions, infringements, viruses or interruptions, and any such occurrences will be rectified immediately or promptly. However, we may update the price or make changes to any content, feature or functionality being made available on the Website/App at any time and without any prior notice. We do not claim that meals or other products/services ordered from any restaurant or service provider will be satisfactory or suitable as per your diet choices or preferences. The allergic content, dietary and other menu information is provided by the respective restaurants and featured on their dedicated profile pages on the Website/App. We hold a good faith that participating restaurants will submit correct, complete and updated product/service descriptions and take reasonable measures to verify their submitted information but we are unable to provide any guarantee that the product or service described on the Website/App will always be authentic and reliable. If you have any types of food allergies, intolerances or other dietary choices, you should directly contact the respective restaurant before placing your orders. We do not guarantee that any such instructions or requests through our contact/feedback form will be communicated to the respective restaurant in time. By featuring third-party logos, trademarks and service marks, we do not endorse or recommend any meals or beverages being offered by them. Quickeats is not a party to your personal, social or business relationship with any restaurant or service provider on the Website/App. The supply of ordered meals or services is subject to your legal contract with the respective restaurant. We do not exercise any control over these third-party restaurants and therefore, Quickeats shall not be liable for the actions or omissions of any such independent entities. We do not guarantee that your orders will be delivered or available for collection within the estimated delivery/collection time provided by the respective restaurant. We do not guarantee that any restaurant will accept your bookings, provide ordered meals/services or communicate any rejection promptly. We encourage the participating restaurants to accept all orders placed through the App and if any order or service request is rejected, notify us promptly so that we can inform you without any undue delays. However, the participating restaurants may reject orders/service requests if they are too busy, you are not in proper dress code, fail to provide your age proof (when required for purchasing alcohol, cigarettes or other smoking products) or any Force Majeure Event occurs and they are unable to provide their services in time. We do not claim that the Services on the Website/App will be available when you need it. The Services may be suspended, interrupted or disrupted due to maintenance, technical issues, non-performance of third-party service providers, the introduction of the new features, changes in the Services or other unforeseen circumstances. We do not claim that by using the Services being made available on the website, including but not limited to any product or service listing, advertisements, featured meals or menu, and other promotional, booking or delivery services, you will actually expand/increase your business, sales turnover, goodwill or profits. All these warranties and conditions are hereby disclaimed but we do not intend to disclaim or limit your statutory rights against any restaurant or service provider.

Limitation of Liabilities

Subject to your statutory rights, Quickeats shall not be liable for any direct, indirect, special or consequential damages, including but not limited to any loss of actual or potential business, sales turnover, revenue, profits, cost savings, business opportunity, goodwill, credibility, database, software or proprietary information that may occur to you or any third party in relation to (1) your ability or inability to use, or as a result of your use of any content, information, feature or aspects of the Service being offered or made available on the Website/App, (2) escalated cost of using any substitute service for ordering products and services, booking alternate dine-in venues, getting orders from customers or promoting your business, (3) errors, omissions or inconsistencies in the product, service or content on the Website/App, (4) health issues due to your poor diet choices or unhealthy eating habits except personal injury or death arising out of our negligence or the negligence of our employees acting in the course of their employment, (5) acts and omissions of participating restaurants, third party service providers or other users on the Website/App, (6) any interruption or disruption of the Services due to non-performance of third parties, maintenance, technical issues or Force Majeure Events, (7) other foreseeable or unforeseeable damages, whether arising out of any tort, negligence, and breach of statutory duty, contract, or otherwise. This limitation of liabilities is not intended to affect your statutory rights. Nothing in the foregoing shall exclude or limit any liabilities that cannot be excluded or limited under the applicable laws in your jurisdiction, including our liabilities arising out of any fraudulent misrepresentation and personal injury or death due to our negligence. However, if we are liable under any laws in your jurisdiction, our total liability arising out of or in relation to your use of the Services on the Website/App (whether due to tort, negligence, breach of statutory duty, breach of contract, restitution, or otherwise) shall be limited to twice the amount you paid for ordering any product or service that makes us liable or the minimum amount stipulated by the applicable laws governing this Agreement, whichever is lower. Force Majeure Events

Quickeats shall not be liable for any non-performance, defaults, delays or failure to fulfil its obligations due to civil or political unrest, strikes, lockouts, riots, terrorist attacks or threats of terrorist attack, external aggression, war or threat of invasion, failure of power, communication or transport system, natural or man-induced disasters, government acts, legislation or regulations, and other events that are outside our reasonable control (collectively Force Majeure Events). During any such Force Majeure Event, our obligations under this Agreement shall be deemed as suspended and the time period for the performance shall be automatically extended for the duration any Force Majeure Event continues. However, we will make reasonable efforts to end the Force Majeure Event or find a solution to fulfill our obligations under this Agreement.

Miscellaneous

The terms and conditions of this Agreement, including the end-user licenses, privacy notices, process and procedures and additional agreement incorporated into the Agreement shall constitute your entire agreement with Quickeats, superseding all your previous discussions, correspondence, negotiations, agreements, understandings or arrangements with us regarding the subject matter herein. Any ambiguity, misrepresentation, defaults or disputes arising out of or in relation to this Agreement shall not be construed against the drafting party. All users on the Website/App, including the restaurants, drivers and other service providers shall be deemed as independent entities. Such independent entities will have no rights to assume, create or enter a binding agreement on behalf of other entities. Nothing on the Website or communications with our support team shall create or construed as any kind of joint venture, partnership, franchise, principal-agent or an employer-employee relationship between Quickeats and the independent entities on the Website/App. The Services on the Website/App are subject to your additional agreements with us (including the terms and conditions for vouchers or participating in any other promotional offer or events) and the respective restaurants/service providers on the App. Quickeats shall never be a party to your personal, social or business relationship with such third parties. Quickeats reserves a right to assign or sub-license its titles, interests, rights, and obligations to any subsidiary, acquired/participating business, joint-venture, service provider, affiliate or third party it deems necessary to provide the Services but you may transfer your rights and obligations under this Agreement only by obtaining a prior written consent from Quickeats, which shall not be unduly withheld. If Quickeats ignores any non-compliance or otherwise unable to strictly enforce any provisions due to specific circumstances, it shall never be deemed as a general waiver of its rights and remedies with regard to your subsequent non-compliance, defaults, violations or breach of this Agreement. If any provision of these terms and conditions is declared invalid, unlawful or null and void by the courts of the competent authority or becomes unenforceable due to enacted legislation or otherwise, the impugned provision shall be severed to the minimum extent necessary (to the extent any such terms and conditions are invalid, unlawful or unenforceable) and the remaining Agreement shall survive to be enforceable with full legal sanctity as permitted by the law. We are fully committed to protecting your privacy on the Website/App. All your personal data and content that you may submit on the Website/App or we may receive from our service providers will be processed according to our Privacy Policy. Please apply your prudence before accessing, using or relying on any product, service or content being featured or made available by third party websites. If you decide to access or use any third-party website, service or content, you shall do so at your own risks and discretion. Quickeats shall not be liable for any claims or damages arising out of or in relation to your access, use or reliance on third party websites, services or content. Applicable Laws

The parties submit to the exclusive jurisdiction of the competent courts in the United Kingdom with regard to all matters in relation to your use of the Services (including the non-contractual disputes or claims that may not be amicably resolved through mutual negotiations).
